OnPoint Accounting

Buy · Grow · Exit - advisers to UK business owners

For UK business buyers and owner-managed businesses

Buy it right.Run it well.Leave on your terms.

OnPoint is a UK accounting and deal advisory practice for people buying a business, running one, or getting ready to sell. Valuations and due diligence when you buy. Accounts and reporting you can steer by while you grow. A plan that holds its value when you exit.

The ownership journey

Buy. Grow. Exit.

Three stages, one continuous piece of work. Most owners meet us at one of them and stay for the other two.

BUYGROWEXIT
01BUY

For buyers weighing up an acquisition

Know exactly what you are buying before the money moves.

Valuation, financial due diligence, affordability modelling and Smart Start support for owners acquiring their first or their fifth business.

02GROW

For owner-managed businesses that want clearer numbers

Run the business on numbers you can actually act on.

Year-end accounts, tax, payroll, bookkeeping and management reporting handled properly, month after month - so decisions are made on evidence, not instinct.

03EXIT

For owners planning to sell or step back

Leave on your terms, at a price that reflects the work.

Exit planning and sell-side preparation, started early enough to change the outcome rather than describe it.

01The difference
Why OnPoint

Not another high-street accountant.

Most practices file your accounts and stop there. We work on the decisions either side of that: what a business is worth, what it is really carrying, and what it takes to leave it well.

Deal work is the day job

Valuations, financial due diligence, completion accounts and exit planning are a specialism here, not something taken on between tax returns.

Advice from an owner

Our Managing Director has bought, sold and grown businesses of his own, so the advice comes from someone who has sat on your side of the table.

A framework, not a hunch

Every diligence engagement runs through the same 35-section framework, so nothing important is left to whoever happens to be reading.

Recognised work

Deal Team Advisor of the Year at the Dealmakers Academy Awards 2025.

Two halves of one practice

Deal advisory and everyday accounting, under one roof.

Most firms do one well and the other reluctantly. Ours are run by different people and held to the same standard, which is why the accounts we prepare survive the diligence we run.

Deal advisory

Business valuations

A defensible view of what a business is worth, and of the assumptions the number rests on.

Financial due diligence

A 35-section examination of the target, written in English, with a view rather than a hedge.

Smart Start

Acquisition support for first-time buyers, from search discipline through to the first hundred days.

Exit planning

The work that happens two years before a sale, and decides most of what a sale is worth.

Everyday accounting

Year-end accounts

Statutory accounts prepared and filed on time, with a conversation about what they show rather than a PDF in an email.

Corporation & personal tax

Returns, planning and the timing decisions that quietly change what you keep.

Payroll

Run accurately every period, with RTI, pensions and starters and leavers handled.

Bookkeeping

Clean, current records on cloud software, so the year-end is a formality and not an excavation.

Management reporting

Monthly or quarterly numbers with commentary, built around the decisions you are actually making.

VAT

Registration, scheme choice, returns and the edge cases that follow growth.

02The methodology
Proprietary framework

35

The 35-Point Due Diligence Framework.

Every acquisition we review runs through the same 35 sections, grouped across six areas. A healthy-looking profit can hide a customer about to leave. A worrying balance sheet can hide a business one decision away from thriving. Finding which is which is the entire job.

  • Trading & earnings
  • Balance sheet
  • Cash & funding
  • People & operating risk
  • Compliance & tax
  • Deal readiness
Six groups35 sections

Every section is worked, evidenced and signed off before the report leaves us - no gaps, no "not reviewed".

The work itself

See a real report before you commit.

Every engagement ends in a written document you can act on. Ask us and we will send a fully redacted extract of genuine client work, usually within one working day.

Plain English, in writing, with a clear view on what the numbers mean and what we would do about them. No hedging, no filler, and no invoice that grows while you read it.

03How we work
How we work

Four things agreed before anything starts.

Fixed fees

Agreed in writing before we start. No clock running.

Led from the top

Your engagement is led by our Managing Director, not delegated down.

Days, not months

Deal timelines do not wait, and neither do our reports.

Plain English

Findings you can act on, not hedge-everything boilerplate.

About OnPoint Accounting - founder led, remote first

We don't advise on deals from theory. We have done them.

OnPoint Accounting helps business owners buy, grow and exit, led by someone who has sat on every side of that table himself, supported by a team who treat your numbers as carefully as their own.

The person behind the reports

Led by an owner, not a filing requirement

Johann Goree, Managing Director of OnPoint Accounting

OnPoint is led by Johann Goree, our Managing Director. Johann has bought businesses, sold a business, and built this firm through acquisition, so when he reads a set of accounts he reads them the way an owner does, not the way a filing requirement does. That is a different skill from year end compliance, and it is the one that decides whether a deal succeeds.

Buying a business is a high stakes decision with long term consequences, yet many deals are still supported by advisers whose experience stops at the tax return. Negotiation, deal structure, funding, risk and what happens after completion all sit outside routine accounting work. Johann is also the author of Buying a Business the Smart Way, but the credential that matters most is simpler: he has actually done what he is advising you to do.

What we believe

Find the story behind the numbers, then tell the truth about it

A healthy looking profit can hide a customer about to leave. A worrying balance sheet can hide a business one decision away from thriving. The numbers in a set of accounts are the start of the story, never the end of it, and finding which is which is the entire job.

So we say what we actually think, in writing, in plain English, whether that is good news or a reason to walk away. Our fees are fixed and agreed before we start, never on a running clock, and the same standard applies to every engagement, from a single valuation to a full acquisition.

The people - two service lines, two named leads

You always know who is accountable

Most firms won't put a name against your work. We will. Each service line has a named person responsible for it, so you always know exactly who stands behind what we deliver.

How we are built - remote by design

A UK wide team, wherever you are

We don't have a marble reception, and we don't ask you to pay for one.

OnPoint is a remote first firm, which means our clients get the full attention of the right person for their work regardless of where either of us happens to be, and it means we can serve owners and buyers across the whole of the UK rather than one postcode.

You reach us by phone, video and our secure client portal, your books and reports live in the cloud where you can see them whenever you want, and a deal conversation can happen the same afternoon you need it. Removing the overhead of offices lets us put more into the work and less into the rent.

Recognition

Deal Team Advisor of the Year 2025

Johann was named Deal Team Advisor of the Year at the Dealmakers Academy Annual Awards 2025, in recognition of the support our clients received as we guided them through their acquisitions and financial due diligence. An award judged by the deal community itself means more to us than any line we could write about ourselves.

Before the offer

Know what it's worth, before you name a price.

An independent, data backed valuation that goes beyond the surface numbers, so you understand the real value of your target, negotiate from a position of strength, and never overpay for a story.

Fixed fee
Agreed in writing before we start, never on a running clock.
Led from the top
Led personally by our Managing Director, not delegated down.
Defensible
Built from real earnings and real sector evidence, not guesswork.
Plain English
A clear number you can stand behind in negotiation.
01The problem
Why it matters

A valuation is a negotiating position, not a guess

Before you enter negotiations it is crucial to know exactly what a business is truly worth. A valuation that combines real financial analysis with genuine market insight gives you a clear, defensible number, so you know where to stand, when to walk away, and how to negotiate with confidence. The alternative - an offer built on the seller's asking price and a hopeful gut feel - is how buyers overpay.

Our valuations look past the headline profit to the earnings a business can actually sustain, then apply a multiple we can justify from sector evidence and the specific risks in front of us. The result is a number with reasoning attached, the kind you can defend across the table rather than simply assert.

Not the same as a free broker appraisal

A free appraisal from a party with an interest in the sale is a marketing number. Ours is an independent assessment, built from maintainable earnings and sector evidence, with the reasoning written down so it holds up in negotiation or in front of a lender. It also bridges enterprise value to equity value: cash, debt and debt-like items all sit between the headline figure and the real cost of the shares, and a number that ignores them flatters the deal.

02Deliverables
What you receive

A written report, a range, and a walk-away number

You receive a written valuation report covering each of the areas below, with the method and the evidence set out so the number can be questioned and still stand. Scope, turnaround and a fixed fee are agreed in writing before we start.

Maintainable EBITDA

The genuine, repeatable earnings the business produces once one-off and non-recurring items are stripped out, the foundation everything else is built on.

The right multiple

A defensible multiple drawn from real sector evidence and the specific risk profile of the business, not a number plucked to please anyone.

Trajectory & volatility

Whether earnings are improving, declining or simply erratic, each of which moves the multiple in a direction a buyer needs to understand.

Pull-down factors

The founder dependence, customer concentration, lease commitments and other realities that quietly reduce what a business is actually worth.

Enterprise to equity bridge

How the headline enterprise value becomes the real price you pay, once cash, debt and debt-like items are accounted for.

A walk-away number

The ceiling you should resist going above without compelling new evidence, so you negotiate from discipline rather than hope.

03The process
How it works

The process, start to finish

    01

    Start with a credit report

An optional £35 plus VAT credit report gives you a fast, high level read on a target before you invest hours in calls and meetings.

    02

    Scope & fixed fee

We agree what the valuation covers and what it costs, in writing, before any work begins.

    03

    The analysis

We build maintainable earnings, select and justify the multiple, and bridge enterprise value to a real equity figure.

    04

    Your defensible number

A clear written valuation with a recommended range and a walk-away ceiling, plus a conversation about how to use it in negotiation.

Three reasons people ask for one

Buying, selling, or planning the exit

  • Buying a business: you need a defensible ceiling before you name a price, and a reason you can give for it across the table.
  • Selling a business: you need to know whether the asking price in your head survives contact with the evidence, before a buyer tests it for you.
  • Planning an exit: you need today's number and the gap between it and the number you want, while there is still time to close that gap.
  • Lender or investor conversations: you need a valuation with reasoning attached, not an assertion.
Next step

Get the number right before you name a price.

Send us a short outline of the deal through the enquiry form and we will come back with how we would help and what it would cost.

Grow - the middle of the cycle

Accounts you can runthe business on.

Filing on time is the floor, not the service. We prepare accounts and tax so you can see what the business is actually doing, decide on evidence rather than instinct, and hand a lender, buyer or investor a set of numbers they can follow without a translator.

Know your margin
Numbers that tell you where you make money, not just what you owe.
No tax surprises
Liabilities flagged early, reliefs claimed, deadlines met ahead of time.
Decision-ready
We explain what the numbers mean before you have to act on them.
Deal-ready
Records a lender, buyer or investor can read without a translator.
01The problem
Company Accounts and Tax

Compliance, handled, plus the planning most firms skip

Every limited company has to file statutory accounts with Companies House and a corporation tax return with HMRC, accurately and on time, or face penalties. We handle all of that as a matter of course. But filing is only half the job. The half that saves you money is the planning - the reliefs, the timing, the structure - and that's where we spend the time most firms don't.

The result is accounts you can trust, a tax bill that's as low as it legitimately can be, and no unwelcome surprises, because we tell you what's coming before it arrives.

02Deliverables
What you get

Compliance handled, and numbers you can act on

What you need depends on your company, but most clients rely on us across the same core areas - each one written here as the outcome, not the task.

Statutory accounts

Prepared in line with UK regulations and filed with Companies House on time.

Corporation tax returns

Your CT600 calculated accurately, with reliefs claimed, and filed with HMRC.

Tax planning

Strategic, legitimate planning to keep your liability down and reinvest efficiently.

Director's tax

Guidance on extracting profit tax efficiently through salary, dividends and pensions.

Compliance monitoring

Deadlines tracked and regulatory changes flagged before they affect you.

HMRC support

A steady hand if HMRC or Companies House come asking questions.

The right fit

For limited companies and their directors

  • Limited companies of any size wanting expert, reliable compliance support.
  • Directors who need joined up advice on personal and company tax, not two disconnected conversations.
  • Startups and growing businesses building strong financial foundations from the start.
  • Owners who suspect they're paying more tax than they need to and want that checked.
Next step

Let's get your accounts and tax on point.

Send us an enquiry and a director will explain how we work and what it would cost for your company. No obligation.
